Terms of Service
1. Agreement
These terms govern access to the inference API at api.cifund.xyz and the website cifund.xyz (the "Service"), provided by Creative Insight Quant Trading Ltd, an International Business Company registered in the Republic of Seychelles under IBC No. 251741 ("CIFUND", "we"). By using the Service you ("Customer") accept these terms. If you use it on behalf of an organization, you confirm you may bind that organization. A separate written agreement with us prevails over these terms where they conflict.
2. The Service
We provide access to open-weight language models through an OpenAI-compatible API, run on GPU hardware we operate in Brazil. The models, quantizations, prices and limits we offer are published at api.cifund.xyz/v1/models and may change. We may add, change or retire models with reasonable notice to Customers we serve directly.
3. API keys
API keys are issued to business customers and routing partners. Keep them secret. You are responsible for all usage made with your keys, and must tell us promptly at will@cifund.xyz if a key is compromised.
4. Acceptable use
You must not use the Service, or let others use it, to:
- break any law, or infringe the intellectual-property, privacy or other rights of others;
- generate or distribute child sexual abuse material, or content that facilitates violence, terrorism or serious harm;
- create malware, or attack, probe or overload the Service or any other system;
- get around rate limits, authentication or other technical restrictions;
- use a model in breach of its license (for example Apache 2.0).
Routing partners agree to pass these restrictions on to their own users.
5. Inputs and outputs
You keep any rights you have in what you send us, and we claim no ownership of the completions the Service returns. We process inputs only to return outputs, as described in our Privacy Policy. Model output can be inaccurate, incomplete or offensive. You are responsible for evaluating it before relying on it, and it is not professional, financial, legal or medical advice.
6. Fees and payment
Usage is charged per token at the prices in effect when the request is served, as published in our models document or on the routing partner's listing. Unless agreed otherwise in writing, we invoice monthly in US dollars, and invoices are due within 30 days.
7. Availability
We aim for high availability but provide no service-level commitment unless agreed in writing. At capacity the API answers with HTTP 429 so callers can retry elsewhere. We may suspend access to protect the Service, comply with law, or address a breach of these terms.
8. Disclaimer
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or lost profits, revenue or data. Our total liability arising from the Service is limited to the fees you paid us for the Service in the three months before the event giving rise to the claim.
10. Indemnity
You will defend and indemnify CIFUND against third-party claims arising from your inputs, your use of outputs, or your breach of these terms.
11. Termination
Either party may stop using or providing the Service at any time. Sections 5, 6 (for amounts due), 8, 9, 10 and 12 survive termination.
12. Governing law
These terms are governed by the laws of the Republic of Seychelles, and its courts have exclusive jurisdiction over any dispute arising from them, unless mandatory law where you are located provides otherwise.
13. Changes and contact
We may update these terms by posting a new version on this page with a new effective date. Questions: will@cifund.xyz.
